Which means they never acquired the rights. They had no right to publish him so a retraction was legally necessary.

What’s also strange in addition to the fact that you ignore official statements and retractions made by the publisher that “incorrectly” printed him is that most everyone who has written on the subject agrees that Rocky is not a Joe and that Hasbro never acquired the rights. In fact, according to the sources below, it even appears that Stallone was the one who changed his mind. But again these are just inconvenient facts.
Of course here is the most authoritative statement of them all, as I and others have pointed out repeatedly: “The character of Rocky Balboa (Code Name: Rocky) was incorrectly included as a member of G.I. Joe… Rocky is not and has never been a member of G.I. Joe.” (Order of Battle #3, Marvel Comics) “In 1987, Hasbro planned to introduce another celebrity as a member of G.I.Joe - Rocky Balboa… But negotiations fell through, Stallone lent his image to Coleco's Rambo toyline, a retraction was printed in the Marvel Comics, and Rocky Balboa never became a member of G.I.Joe…Pictured above is the packaging art that was painted and would have been used for the Rocky cardbacks and filecards.” (Yojoe.com) “No toys were produced. A licensing agreement fell through, and pre-production on the Rocky figure was cancelled… “The Herb Trimpe artwork in Order of Battle #2 was not drawn with Sylvester Stallone’s likeness, since the deal was not yet official.
